RECITALS
a) The Contractor carries on business as Electrical Engineers and Custom Installation Specialists.
b) The Client wishes to engage the Contractor to provide Electrical Services and/or Custom Installation Services.
c) The parties wish to record the terms of their agreement in writing.
1. INTERPRETATION
1.1 In this Agreement, unless the context otherwise requires:
"Agreement" means this contract, including all schedules and appendices.
"BS7671" means the IET Wiring Regulations 18th Edition (2022), as amended.
"Change Order" means a documented modification to the Scope of Works.
"Completion Date" means the date specified in Clause 9.
"Contract Sum" means the total price payable under Clause 4.
"Defects Liability Period" means the 12-month period in Clause 15.
"Health and Safety Legislation" means all applicable statutes, including the Health and Safety at Work etc. Act 1974.
"Part P" means the Building Regulations 2010, Part P (Electrical Safety).
"Scope of Works" means the works described in Appendix A.
"Site" means the location where the Works are carried out.
"VAT" means value-added tax under the Value Added Tax Act 1994.
(Additional definitions added in relevant clauses below.)
2. SCOPE OF WORK
2.1 General
The Contractor shall provide Electrical Services and/or Custom Installation Services as detailed in Appendix A, including but not limited to:
Installation, repairs, maintenance, and certification.
Compliance with:
This Agreement;
BS7671, Part P, Electricity at Work Regulations 1989, HSE guidelines;
Good industry practice.
2.2 Work Categories
a) Electrical Domestic/Commercial/Industrial Works:
Installation, testing, and certification of up to 1000V AC/1500V DC systems.
New circuits, inspections, modifications.
b) Custom Installation & Smart Home Works:
· Home Automation Control Systems (Control4, RTI, KNX, Lutron, Loxone, Nice and similar).
· Structured Data Cabling, Cat5/6/7, Optical Fibre.
· Audio Visual Cabling, Line Level, HDMI, IR, RS485, Speaker Wiring.
· Smart Lighting Control (Control4, RTI, KNX, Lutron, Loxone, Nice and similar).
· Audio Visual (AV): Home Theatre Systems, Multi-Room Audio/ Visual.
· Information Technology (IT): Router/ Ethernet Switch Data Networks, Server Setups.
· WiFi/Broadband: WiFi & Mesh Networks, Signal Boosting, ISP integration.
· CCTV: IP Camera Installation, Monitoring Systems.
· Integrated Security Systems.
· Door Access: Video Door Bell, Door Access/ Smart Locks, Intercom Systems.
· Heating Integration: Smart Thermostats, Zoned Heating, HVAC control systems.
2.3 Technical Requirements
Where the Contractor is not responsible for cabling, the Client/third parties must ensure:
Minimum 20cm bend radius for ELV Cabling e.g Cat5/6/7, Fibre, Audio cables.
30cm separation between ELV and 230V+ cabling.
Adequate Cable & Installation selection for installation environment.
Compliance with BS7671 and other relevant technical standards.
2.4 Exclusions
The Contractor is not responsible for:
· Core drilling for fan ducts, vents, or similar structural modifications.
· Builders' work (e.g., installing 'noggins' for back boxes, structural alterations, brickwork, plastering).
· Moving/clearing furniture or personal items to access worksites.
· Reinstating floor coverings (e.g., carpets, tiles, laminate).
· Making good/decorating after electrical work (e.g., filling holes, repainting walls).
Being responsible for the supply of high access plant equipment to complete works such as Scaffolding, Cherry Picker/ Lifts or similar.
2.5 Third-Party Damage
Rectification charged at 2x standard rate (Client liable; may seek recoupment).
2.6 Fixture Installation Requirements:
· All recessed downlights or similar fixtures must maintain a minimum 50mm clearance from insulation materials in all directions (Celotex or equivalent), where the Client or 3rd Party Contractors fail to maintain this, they shall be liable for rectification works or Contractor will rectify at 2x Standard Rate per hour with a minimum of 1 hour charge.
3. PRE-ASSESSMENT
3.1 Pre-Assessment: Contractor may recommend an electrical safety/compliance check.
3.2 If Declined: Contractor assumes existing installation is safe.
3.3 Remedial Works: Necessary safety work = additional charge.
3.4 If Not Authorised: No certification provided; Client assumes liability.
4. CONTRACT SUM & PAYMENT
4.1 Contract Sum: £______ (excl. VAT), payable as:
Deposit: £___________ or ________% on signing.
First fix: £___________ or ________% upon completion of first fix.
Balance within 7 days of completion.
4.2 VAT: Charged at prevailing rate (see Clause 17).
4.3 Overdue Payments:
Interest at 8% above BoE base rate.
Suspension of works until paid.
4.4 Material Cost Increases:
If costs rise by >5%, Contractor may adjust Contract Sum with written notice.
5. LABOUR RATES & WORKING HOURS
5.1 Standard Hours: 08:30–16:30 Monday–Friday (excluding UK bank holidays).
5.2 Rates:
Electrical Works: £45/hr (+VAT).
Custom Installation Works: £85/hr (+VAT).
Overtime Weekdays: 1.5x rates.
Weekends & Bank Holidays: 2x rates.
5.3 Stand-Down Fees:
· 50% standard rate for idle time (>4 hours) due to Client delays.
5.4 Hourly Rate Basis for Undefined Work:
· Where a Design, Scope of Works, or Schedule of Works is not provided by the Client, all work shall be estimated and carried out as Hourly or ‘Day Rate’ in minimum 4 Hour time slots (i.e 6 Hours worked, 8 hours charged for) at the Standard Hours Rate, Overtime/Weekends & Bank Holidays Rate in the relevant Electrical or Custom Installation category, as applicable.
5.5 No Contract
· Should no Contract be agreed and signed, it is agreed that this contract and its terms are the basis for all Hourly or Day rate works unless written communication from the Client to the contrary is provided before works begin.
5.6 Emergency/ Same Day Call-Outs:
a) First hour: 2 x applicable standard/ overtime/ weekend rate; subsequent hours at applicable rates.
6. SCHEDULE OF WORKS
6.1 If no schedule provided, Contractor not liable for delays.
7. CHANGE ORDERS
7.1 Process:
Client submits written request (email + Appendix C).
Contractor provides estimate for admin fees.
Work begins only after written approval.
7.2 Liability:
Client liable for completed work even if Change Order is cancelled.
8. THIRD-PARTY DAMAGE
Rectification at 2x rate; Contractor indemnified for schedule delays.
9. PROGRAMME
9.1 Start/End Dates:

9.2 Time Not of the Essence (delays may adjust timelines).
9.3 Delays & Remedies:
Contractor-caused delays: Daily credit of 0.1% of Contract Sum (capped at 5%) or termination right.
Client-caused delays: Stand-down fees + adjusted timeline.
10. SITE CONDITIONS
Client must provide:
Safe access, free parking, no obstructions, failure to do so allows the Contractor to charge for parking costs and fines (PCNs).
11. HEALTH & SAFETY
Asbestos disclosure required by Client.
12. INDEMNITY & INSURANCE
12.1 Contractor’s Insurance: Public Liability Insurance (Appendix D).
12.2 Client Indemnity: Covers pre-existing defects/third-party damage.
12.3 Subcontractors: Contractor may use subcontractors but remains liable.
12.4 Liability Cap: 150% of Contract Sum (excludes indirect losses).
13. TERMINATION
13.1 For Cause: 14 days’ notice for material breach.
13.2 For Convenience: Client may terminate with 30 days’ notice + payment for completed work.
14. DISPUTE RESOLUTION
Mediation (CEDR/ TrustMark) before litigation.
English law governs.
15. WARRANTY
15.1 12-month workmanship warranty (excludes misuse/third-party damage).
15.2 Post-Completion Support: Optional discounted rates (Clause 5 rates apply).
16. FORCE MAJEURE
No liability for pandemics, war, acts of God etc.
17. VAT
20% standard rate (Client liable for rate increases).
17.1Definition
· "VAT" means value-added tax under the Value Added Tax Act 1994.
17.2 Standard VAT Rate
· All Invoices and Quotes, unless stated, assume the prevailing VAT rate of 20%.
· The Client shall bear any VAT rate increases enacted before project completion.
17.3 Non-Standard VAT Rate
· The Client is responsible for informing the Contractor of specific VAT rates applicable to the work, before work begins.
· Any incorrectly applied VAT rates by the Contractor due to lack of Client information will incur an admin fee at the applicable rate to remedy.
· Contractor to Client VAT refunds will be returned at the end of the next VAT Quarter should sufficient Contractor VAT offsets be available, subsequent VAT Quarter Returns may need to be used to complete a full refund.
18. MATERIALS & EQUIPMENT
18.1 Client-Supplied Materials: Must meet safety standards.
18.2 Warranty Claims: Require proof of purchase.
18.3 Client Materials Insurance: Client warrants insurance coverage.
8.4 All Quoted Cable costs are estimated only and subject to further charges once site work begins.
19. WASTE MANAGEMENT
Client provides bins/skips; Contractor retains scrap.
20. HEATING SYSTEMS
Quotes based on single 13A isolation point unless full design has been provided (detailed schematics required).
21. CONFIDENTIALITY & INTELLECTUAL PROPERTY
21.1 Confidentiality: Both parties protect sensitive information.
21.2 Non-Solicitation: Client agrees not to poach staff for 24 months.
21.3 GDPR: Both parties comply with UK data protection laws.
21.4 IP Rights: Contractor retains ownership of designs/schematics.
22. GENERAL
22.1 Notices: Formal communications to addresses in Appendix E.
22.2 Assignment: No transfer without written consent.
22.3 Entire Agreement: Supersedes all prior agreements.
